Sit down, Coco. Sit down, bravo dog. In this episode we take a look at Staples. Staples was founded 39 years ago, 1986, in Breiten, Massachusetts, by Thomas Steinberg, Leo Kahn and Meijer Hart. The idea of building a nationwide chain of large office business was already established in 1985, when he worked for another company for a project and needed color bands for printers. However, he could not find local dealers who opened it, because it was on the fourth of July on the holiday. Since the opening of the first Staples store in 1986 in Breiten, Massachusetts, the company has grown into 860 branches in the United States with 40 stores and plant centers. They are also represented in Canada. But I had difficulty finding out how many files they have in Canada. Staples started with the support of some private equity companies, including Bain Capital. The founder of Bain Capital, with Romney, was 15 years old in the company's business. In the course of the years, Staples has taken over several other smaller companies from the office field. My favorite among the attempts is Office Depot. Staples has already tried several times to take over Office Depot. The first time it happened in 1996. At this attempt, the Federal Trade Commission switched on and said, No, you don't want that. That will create a monopoly for office business. In 2015 Staples then tried to take over Office Depot again. But here too, the Federal Trade Commission said, No, you can't do that. A few years after this second successful transfer from Office Depot, Staples was bought 2017 by Sycamore Partners for $ 6. 9 billion. $ 1. 6 billion was financed as its own capital. The remaining $ 5 billion was taken as a debt. Also, during this purchase, Sycamore Partners took over the company Staples and divided it into three independent-fueled and capitalized units. This would be the Staples Business-to-Business, the Staples Single Trade Station in the USA and the Staples Single Trade Station in Canada. All three units carry the name Staples. The Leveraged Buyu in 2017 is actually one of the reasons why I decided to make a video about Staples. Since this is another example of a large national retail company, which is charged with a large amount of debt from a Leveraged Buyu. Another reason is that It's always a bit strange to walk around there and this is very, very empty here. When I came to this Staples business a few weeks ago, it was the first time in several years that I was in a office-to-business again. And the first thing that caught my eye was not necessarily my eye, but my nose, was the unique smell that apparently only has office-to-business. It's a scent of paper and ink, maybe also a breath of emotion from the laser printers and copies in the Business Center. It's a smell that is definitely unique in office-to-businesses and they all have this smell. If I would take you with my eyes to a office-to-business and wouldn'tell you what kind of business it is about, and would ask you what it is, you would probably already recognize the smell that it is a office-to-business. To get back to the topic of the overtake of Staples by Sycamore. I mentioned that the overtake of $ 6. 9 billion was and only $ 1. 6 billion as a real capital financed. Only a few years later, in 2019, Sycamore partner was able to get the majority of this investment back up to $ 1. 6 billion. They achieved this through a so-called dividend recapitalization, which I don't quite understand, because I'm not a financial advisor. They were able to refinance $ 5. 4 billion of this debt with their participation in Staples, which led to a unique dividend of $ 1 billion for the private equity company. This surprised many financial analysts that Sycamore could get back about 80% of its own capital investment in Staples in less than two years. This also increased the debt of Staples to almost $ 7 billion. That was six years ago. Meanwhile, Sycamore partner probably won with his investment in Staples. But Staples also has debt at this point in height of over $ 6 billion. Two years later, in 2021, Staples tried to get back all this debt a third time to buy office depots. However, this offer was rejected before the FTC had to intervene again. About a year ago, in June 2024, Staples could owe his entire debt. That was important, because a credit rate of $ 300 million was very soon to be filled and $ 5 billion more was filled in 2026. Due to the apology, the return rate was basically postponed to 2029, when $ 2. 375 billion was filled. Today we are in a basic food business and look at a really dirty piece of a mechanical keyboard. They should really clean it up. I have the term, the return rate on the long bench, used, because it feels The implementations in basic food businesses have gone back in the course of the years. And why is a Nintendo shield sticking over the printing patterns here? Have they ever sold Nintendo products at Staples? Because there are only tonic cartridges here. That's weird. Let's take a look at the software department. In the past, this was a large area in office business Now there is just one small shelf. There are basically only keys to download these programs. There are only Microsoft Office and Antivirus programs. That's the problem with the office business in general. Bureaus simply cons Many offices have turned into paperless office businesses. In the past, they had limiters with orders and pages full of paper. Today, many of these things that you would buy in office businesses are saved on a single $ 15 USB stick. That was filmed at the weekend. When I was here, it was as good as no customer in this store. The problem is not only at Staples. I was in an office max recently and it was similar. There was really no one there. My knowledge is that business to business is better than the philials. That makes my opinion sense. I think many people buy not so many office materials anymore today. So often that it is easier to order a few things and once a month get a order with a few things that you need. But I like that you can buy Christmas plates in the middle of the s These butter plates I see in the shops normally only during Christmas time. What customers are concerned about, who don't have a business and maybe only come to Staples to buy a certain color printing paper for a school project or something So I have the feeling that this is much more rare here, because shops And it's just easier to gather the few things that you need for a school project. While you are at Walmart and buy other things that you would normally buy. They also have a lot of school requirements and requirements articles specifically for teachers. Although I know some teachers and they never hear that they buy at Staples, office max or office depots. Unfortunately, teachers have to take these things in their pockets. I think they try to find the cheapest offer for such things at offers I also saw the famous Staples Easy Button. A big part of it should soon be filled.
